However, participating in such auctions also comes with strict legal obligations.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">One of the most important questions frequently asked by auction purchasers is:<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\"><strong>If I fail to pay the remaining sale consideration within the prescribed time, can the bank keep my entire deposit even if it later sells the property for a higher price?<\/strong><\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The <strong>Supreme Court of India<\/strong> answered this question in <strong>The Authorised Officer, Central Bank of India v. Shanmugavelu (Civil Appeal Nos. 235\u2013236 of 2024)<\/strong>, decided on <strong>2 February 2024<\/strong>.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The court held that <strong>where an auction purchaser defaults in making the balance payment, Rule 9(5) of the Security Interest (Enforcement) Rules, 2002, mandates forfeiture of the entire 25% deposit. The bank is not required to prove that it suffered any financial loss, nor does it have to refund the deposit merely because the property was later sold at a higher price.<\/strong><\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">This judgment reinforces the strict nature of bank auction rules under the <strong>SARFAESI Act, 2002<\/strong> and serves as an important warning for prospective auction buyers.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<h3><span style=\"color: #000000;\"><strong>Background of the Case<\/strong><\/span><\/h3>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Central Bank of India initiated proceedings under the <strong>Securitisation and Reconstruction of Financial Assets and Enforcement of Security Interest Act, 2002 (SARFAESI Act)<\/strong> to recover its outstanding dues from a defaulting borrower.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">As part of the recovery process, the bank conducted a public auction of the secured property.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Mr. Shanmugavelu emerged as the successful bidder by offering approximately <strong>\u20b912.25 crore<\/strong>.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">In accordance with the auction conditions, he deposited <strong>25% of the bid amount<\/strong>, amounting to approximately <strong>\u20b93.06 crore<\/strong>.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">However, under the auction rules, he was required to deposit the remaining <strong>75% of the purchase price within the prescribed time period.<\/strong><\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">He failed to do so.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Consequently, the bank cancelled the sale and forfeited the deposit in accordance with the Security Interest (Enforcement) Rules.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The property was subsequently auctioned again and sold for approximately <strong>\u20b914.76 crore<\/strong>, resulting in a higher sale price than the original auction.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The purchaser then approached the court, claiming that since the bank had ultimately recovered an even higher amount, it had suffered no financial loss and therefore should refund his deposit.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<h3><span style=\"color: #000000;\"><strong>The Legal Questions Before the Supreme Court<\/strong><\/span><\/h3>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Supreme Court examined several important legal issues:<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<ol class=\"wp-block-list\" start=\"1\">\n<li style=\"list-style-type: none;\">\n<ol class=\"wp-block-list\" start=\"1\"><\/ol>\n<\/li>\n<\/ol>\n<ol class=\"wp-block-list\" start=\"1\">\n<li style=\"list-style-type: none;\">\n<ul>\n<li><span style=\"color: #000000;\"><strong>Can a bank retain the auction purchaser&#8217;s deposit without proving that it suffered any financial loss?<\/strong><\/span><\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<p><\/p>\n<ol class=\"wp-block-list\" start=\"1\">\n<li style=\"list-style-type: none;\">\n<ul>\n<li><span style=\"color: #000000;\"><strong>Do the general principles of the Indian Contract Act regarding compensation for breach of contract apply to statutory auctions conducted under the SARFAESI Act?<\/strong><\/span><\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<p><\/p>\n<ol class=\"wp-block-list\" start=\"1\">\n<li style=\"list-style-type: none;\">\n<ul>\n<li><span style=\"color: #000000;\"><strong>Does the Bank become unjustly enriched if it forfeits the deposit and later sells the property at a higher price?<\/strong><\/span><\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<p><\/p>\n<ol class=\"wp-block-list\" start=\"1\">\n<li style=\"list-style-type: none;\">\n<ul>\n<li><span style=\"color: #000000;\"><strong>Can the purchaser rely upon personal difficulties or other circumstances as an excuse for failing to pay within the prescribed time?<\/strong><\/span><\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<p><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">These issues had significant implications for banks, borrowers, and every person intending to purchase property through bank auctions.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<h3><span style=\"color: #000000;\"><strong>What Did the Supreme Court Observe?<\/strong><\/span><\/h3>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Supreme Court carefully examined the scheme of the SARFAESI Act and the Security Interest (Enforcement) Rules.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">It observed that bank auctions conducted under the SARFAESI Act are <strong>not ordinary private contracts<\/strong>.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Instead, they are <strong>statutory sales<\/strong> governed by a special legal framework designed to facilitate speedy recovery of public money.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Accordingly, the rights and obligations of auction purchasers are governed primarily by the statutory rules rather than by the general law relating to contracts.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<h3><span style=\"color: #000000;\"><strong>Rule 9(5): The Deposit Must Be Forfeited<\/strong><\/span><\/h3>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">One of the most important provisions considered by the Court was <strong>Rule 9(5) of the Security Interest (Enforcement) Rules, 2002<\/strong>.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The rule provides that where the successful auction purchaser fails to deposit the balance sale consideration within the prescribed period, <strong>the deposit already made shall be forfeited<\/strong>, and the property shall be resold.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Supreme Court emphasized the language used by the rule.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">It noted that the Rule uses the expression <strong>&#8220;shall be forfeited.&#8221;<\/strong><\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The word &#8220;shall&#8221; makes the provision mandatory.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Therefore, once the auction purchaser defaults, the bank has no discretion to return the deposit merely because the purchaser later requests leniency.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<h3><span style=\"color: #000000;\"><strong>Does the Bank Have to Prove Financial Loss?<\/strong><\/span><\/h3>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The purchaser argued that since the property was later sold for a much higher amount, the bank had actually suffered no loss.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Therefore, according to him, the bank should retain only a nominal amount towards administrative expenses and refund the remaining deposit.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Supreme Court rejected this argument.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Court held that the statutory scheme does <strong>not require the Bank to prove actual financial loss before forfeiting the deposit.<\/strong><\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The purpose of forfeiture is not merely to compensate for monetary loss.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">It also serves important public purposes, including:<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\"><\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\">\n<li><span style=\"color: #000000;\">ensuring seriousness among bidders,<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><\/p>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\">\n<li><span style=\"color: #000000;\">preventing speculative participation,<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><\/p>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\">\n<li><span style=\"color: #000000;\">discouraging frivolous bidding,<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><\/p>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\">\n<li><span style=\"color: #000000;\">avoiding unnecessary delays in recovery proceedings, and<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><\/p>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\">\n<li><span style=\"color: #000000;\">protecting public funds.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Therefore, proof of actual financial loss is legally irrelevant once Rule 9(5) becomes applicable.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<h3><span style=\"color: #000000;\"><strong>Does the Indian Contract Act Apply?<\/strong><\/span><\/h3>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The purchaser relied upon <strong>Sections 73 and 74 of the Indian Contract Act, 1872<\/strong>, which generally provide that compensation for breach of contract should correspond to the actual loss suffered.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Supreme Court clarified that these general principles do not govern statutory sales under the SARFAESI Act.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The court explained that the SARFAESI Act is special<strong>\u00a0legislation<\/strong> enacted to ensure expeditious recovery of debts by banks and financial institutions.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Since the Security Interest (Enforcement) Rules specifically provide for mandatory forfeiture of the deposit, those special provisions override the general principles contained in the Contract Act.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Court also referred to <strong>Section 35 of the SARFAESI Act<\/strong>, which gives overriding effect to the Act wherever any inconsistency arises.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Accordingly, the purchaser could not rely upon the Contract Act to avoid the consequences prescribed under Rule 9(5).<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<h3><span style=\"color: #000000;\"><strong>Was the Bank Unjustly Enriched?<\/strong><\/span><\/h3>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Another important argument advanced by the purchaser was based on the doctrine of <strong>unjust enrichment<\/strong>.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">He contended that because the Bank subsequently sold the property at a higher price, it effectively recovered both the enhanced sale consideration and the forfeited deposit, thereby receiving an unfair financial benefit.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Supreme Court did not accept this submission.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">It observed that the purchaser voluntarily participated in the auction after accepting all the auction conditions.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Those conditions expressly provided that failure to pay the balance amount would result in forfeiture of the deposit.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Therefore, enforcement of those conditions could not be described as unjust enrichment.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Court further observed that permitting defaulting purchasers to recover their deposits would encourage speculative bidders to participate without genuine financial capacity, thereby frustrating the objective of speedy recovery under the SARFAESI Act.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<h3><span style=\"color: #000000;\"><strong>Were the Purchaser&#8217;s Excuses Valid?<\/strong><\/span><\/h3>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The purchaser attempted to justify his failure by referring to circumstances such as:<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\"><\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\">\n<li><span style=\"color: #000000;\">the impact of demonetisation; and<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><\/p>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\">\n<li><span style=\"color: #000000;\">delay in receiving certain documents from the bank.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Supreme Court found these explanations unconvincing.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">It observed that:<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\"><\/ul>\n<\/li>\n<\/ul>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\">\n<li><span style=\"color: #000000;\">demonetisation had already taken place before the auction process commenced;<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><\/p>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\">\n<li><span style=\"color: #000000;\">the purchaser voluntarily participated in the auction despite being aware of his financial position;<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><\/p>\n<ul class=\"wp-block-list\">\n<li style=\"list-style-type: none;\">\n<ul class=\"wp-block-list\">\n<li><span style=\"color: #000000;\">The bank had supplied the required documents within a reasonable time.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The Court therefore concluded that the purchaser had failed to establish any exceptional circumstance warranting judicial interference.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<h3><span style=\"color: #000000;\"><strong>The Principle of &#8220;Special Law Overrides General Law&#8221;<\/strong><\/span><\/h3>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">One of the most significant legal principles reaffirmed by the judgment is that <strong>a special statute prevails over general legislation<\/strong>.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">The SARFAESI Act creates a specialized framework for recovery of secured debts.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">Where the Act and its Rules prescribe a specific consequence for default, that consequence cannot be diluted by invoking general contractual principles.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\">This principle ensures consistency, certainty, and efficiency in statutory recovery proceedings.<\/span><\/p>\n<p><span style=\"color: #000000;\"><\/span><\/p>\n<p class=\"wp-block-paragraph\"><span style=\"color: #000000;\"><strong>The Supreme Court&#8217;s Final Decision<\/strong><\/span><\/p>\n<p><span style=\"color:
